ROBERTS: At this time, Your Honor the Mayor, I'd like to call for an executive session of the Town Commission for the purpose of discussion of the Broadview Savings and Loan settlement. MR. MAYOR: All right. Fine. MR. ROBERTS: Just to comply with the statute, relevant statute, we would note for the record that there is a court reporter present taking the session down; that reasonable public notice of the session has been given; persons who are in attendance at the session are the commissioners whose roll names were just given, which would be Commissioner Augenstein, Commissioner Eypel, Commissioner Paul -- Vice-Mayor Paul, Mayor Voress, Commissioner Rand, myself, George Roberts, as attorney for the Town, Town Manager Mary Ann Mariano, and special attorney consultant Charles Schoech, are present at this meeting. THE MAYOR: Yes, I asked that this meeting be called and I asked the town manager to do that and she spoke with you, Rusty, and that resulted in this town meeting. The purpose of my asking for this meeting is last Thursday, that's the 23rd of this month, I got a call from Chris Yeats. Chris Yeats is chairman of the VLO slash swat team of the RTC out of Valley Forge, he's the strategic assets deployment person, and is one of Jay Hambric's, who's the director of that operation, one of his chief lieutenants, and I believe, I know Commissioner Rand met Chris Yeats. MR. RAND: He met with someone else. THE MAYOR: Maybe it was Arthur. MR. EYPEL: Possibly. I don't know. MR. He said that Jay had called him to ask his opinion on the recent Highland Beach proposal for the settlement of the Hidden Harbor dispute, which was sent to the RTC, in other words, our document that went to that. Jay had told Chris that the law group of the RTC had looked at the document and said to him, quote, there they go again, unquote, and indicated that they, the law group, did not think that further discussion with the Town would be worthwhile. They perhaps have the same view of our law and our defenders that we have of theirs, for all the right or wrong reasons. And Jay said that he wanted to know what Chris thought the Town wanted to do and whether he, Chris, thought it would be worthwhile to have further discussion with the Town in opposition to what the law group said. Chris said that he thought the Town wanted to settle this lawsuit and that the proposal was one for continued dialogue. I told Chris that the Town was very interested in getting a settlement, that the Town had held an executive meeting with the Town elected officials, and that meeting had resulted in a document being prepared and sent to the RTC. I said that I believed the Commission had made a concerted effort to cover the disputed areas properly and I said that the dollar value proposed by the offer sent in by the Town was different from the values that had been previously discussed. Chris said to me at that point in time that the two million dollar figure that was in our offer was completely unacceptable and that there was no way that Jay could discount the value of the court judgment to arrive at such a figure. He said that in all probability he and Jay would like to meet with me and discuss where we stood and asked if I would bring any lawyers with me if we had such a meeting, and I said no, as the discussions were of a business nature, not of a legal nature. He agreed wholeheartedly and commented to me that lawyers were not helpful in such discussions. I then got in touch with the town manager and requested that she set up this executive meeting with the Town Commission so that I could discuss those developments with the Town Commission directly. Jay then called me that evening about 5 o'clock to say that he had called, he had talked with Jay (sic), and that he was pleased to hear that the Town wanted to continue discussions. He said that he would be traveling all week and that he would get home on Friday night. He said then that he would like to meet with me and discuss his view of the town proposal and asked if I would be willing to do so. I told him that I would report and discuss that request with the executive meeting of the Town Commission that we were going to have and that I would get back to him. And that concluded my discussions with him. The reason I wanted to bring that all to you is to say that Jay is saying that he would like to sit down and talk about what's going on. I personally think that we're getting closer and closer to a settlement with the RTC all the time. I think that we need a session whereby when information comes in we can all hear it directly. I would expect, because of my relationships in the past with the RTC, that they will call me. I guess what I'm suggesting to the Town Commission is that they appoint me as the point man to talk with RTC about what's going on and then bring that back to the Town Commission so you hear it directly from me without through some third party as we have done before, and I think that way we can move rapidly ahead. I would suggest that that can be done. And I would suggest that as these discussions go along, that if you agree with that type of position I would meet with Jay and the day I would meet with him we would schedule an executive meeting the next day so that whatever I heard from what Jay said, I could come back and tell you immediately what the conversations were. I have a very real personal concern that it's been six weeks since the hearing in Miami and it was the 14th of -- MR. EYPEL: 14th of February. THE MAYOR: Of February. Time is running along. We don't know when we're going to hear from the Eleventh Circuit Court of Appeals, could be any time from now till a year from now. And I think my own personal view is that we want to settle, or that I want to see settlement in this dispute outside the court position, and that we ought to move rapidly to try to wind this issue up before the court does indeed decide it. The Commission can respond, and we can move rapidly ahead. So that's the purpose of this meeting, to talk with you to tell you what has happened and what I believe ought to be done. MR. AUGENSTEIN: Mr. Mayor, you said they were unhappy with the offer. Wasn't it two point five, if I remember correct? THE MAYOR: Yes, didn't I say two point five? MR. AUGENSTEIN: No, you said two point. THE MAYOR: I'm sorry, two point five. I read it wrong. MR. EYPEL: Were there any financial parameters discussed in it? THE MAYOR: There was no discussion of any kind relative to any details, only the two point five. And that was from Chris, it wasn't even from Jay. MR. AUGENSTEIN: Don't you think it would be prudent to find out what they have in mind before we go into these discussions? MR. AUGENSTEIN: They have not responded to our letter? THE MAYOR: That's correct. And they have been advised by their legal group that it isn't worthwhile. MR. AUGENSTEIN: And they're not going to respond? THE MAYOR: I don't know whether they are or not. Jay, who's head of the operation, said, I would like to sit down and talk to you, are you willing to do that? And I said, I don't know how this Town Commission feels. MR. RAND: I'm sorry. Go ahead. MR. PAUL: I don't, I don't know where we got off the track. I apparently came away with some impressions from our last executive session that we went and we agreed on this document that we were going to be presented, or present to them. THE MAYOR: Right. MR. PAUL: And it very specifically, I believe, said in the letter when they sent it, to send it to their attorney. MR. PAUL: Now we did that, and in my opinion it's up to them to respond to us, the Commission, not to you. We also left that meeting, I was under the impression that we were to follow a single path in the negotiations. Now I'm very concerned that they even call you under these circumstances because there are five people sitting here who are to make these decisions. THE MAYOR: You're correct. MR. PAUL: And I think it's very remiss on their part to try and ignore the rest of us, which it seems to me that they are doing, and if they, if they can tell you one thing, then put it in writing to the rest of us. They can put in writing whatever they want to tell us how they feel about us. And I see that, I don't see that we have anything to respond to at this point because they have not responded to us directly. THE MAYOR: Okay. MR. RAND: I'm a little puzzled as to the remark made by the attorneys that it was a waste of time. They haven't given any indication as to what in the agreement was unpalatable to them. Now it's important, I recognize, that in a matter of this magnitude that there be a dialogue, okay? And it's a question of who's going to get involved in a discussion and so forth, but I think the question is if you wish to be considered being appointed by us, I think it has to be clearly understood under what grounds or conditions you would act as such an intermediary. I think, as you well know, Mayor, I don't think I have to tell this to you, by no stretch of the imagination would you be able to commit us, and I know that's not your intention, at least I assume it's not. THE MAYOR: No, it was not. MR. RAND: I think, I think, I don't see anything wrong with asking either Jay or his associate, Chris, what is it specifically that they disagree with. I mean, we went to the trouble of having an agreement prepared, we said that we were going to start with two and a half million dollars. THE MAYOR: Uh-huh. MR. RAND: But the impression being given now is that this whole agreement is worthless, and I find that rather a strange remark to make. If they came back and said, look, the agreement is pretty much what we asked you to do and we have no axe to grind with you as far as the legal ramifications are concerned, but we do think that you're a little bit on the low side as far as the money is concerned, but they're coming back in rather a patronizing fashion and in effect saying, you guys are wasting our time, you really don't want to settle. And I don't know how in God's holy name they can get that impression that we don't want to settle, considering the fact that we wrote them a letter, made the commitment to them as to what we're prepared to consider and so forth. And at no time did we say, you take it or leave it, we never said any such thing, so obviously this thing is still open for negotiation. Is this basically what the thrust is going to be? THE MAYOR: Yes, I think, I think whether we like it or not, the legal end of the RTC, and I've been dealing with them for a year and a half to two years, are not, they have just as much animosity toward us as we have between some of their lawyers. I don't think there's any doubt about that. And, you know, that's just a fact of life. And they believe that we have no real intent of trying to work through a relationship that will solve this issue, that we'll just keep on and on. They even go back to the days before the trial, that we were the ones who blew it, and we don't agree with that, but they say that's true. MR. RAND: You mean as far as the settlement proceedings out of court, that we blew it? THE MAYOR: Yes. RAND: How can they possibly make a remark like that? We had five sets of -- THE MAYOR: I can't explain their remarks, I have to tell you that, but I'm telling you that there is no love lost between the, the legal end, the law end of the RTC and their view of the Town of Highland Beach. I just have to tell you that's their fact. I've had that played to me too many times. What Jay is saying is that that's what the law group advised him to do, for all the right or wrong reasons. I don't think he has dealt in any degree -- he said he had not had a chance to go through this document in any detail, I told you that, and that he wanted to sit down and talk to me. MR. RAND: Where would you meet him? THE MAYOR: Any place he wants to meet. MR. RAND: In other words, would it be up in Valley Forge? THE MAYOR: Valley Forge or whatever. MR. RAND: Or down here? THE MAYOR: Wherever. MR. RAND: Would he come here? I've asked him several times to meet with the Town Commission. He said, I'm not going to do that. MR. RAND: Why -- MR. EYPEL: Hold on a second. I'm sorry. May I ask a question -- MR. RAND: Yes. MR. EYPEL: -- that goes right to that? There's something basically wrong here in my opinion. First of all, we submitted in good faith a document prepared by our counsel in the form of a proposed settlement. That's what it was, a proposed settlement agreement. THE MAYOR: Uh-huh. MR. EYPEL: And now we're sitting in executive session, and I don't disagree, Arlin, with any of your basic premises, I don't, but we must settle this issue. It, there is no argument that we need to settle it. But I am appalled that we would not even get a written response, and for the man to tell us that he hadn't even read it, I'm personally insulted. Now that doesn't matter. I can -- THE MAYOR: Can be. I am merely reporting to you the telephone conversation. If you're going to meet with them I think you ought to first clear with them, are you prepared -- if I meet with you and the Town Commission lets me act in that capacity, are you prepared to tell me what you want us to consider to finalize this? RAND: But has Jay said this to you, has Chris said this to you, if we meet we're going to tell you what we object to and what we would like to counterpropose? Are they going to do that, or are they going to throw it back in our laps and say, you got to come up with a better figure, and then let it to our imagination as to what the hell is a reasonable amount? THE MAYOR: The only thing I can say to you is if the Town Commission wants me to do that, they can put whatever constraints on that, my meeting with them, they choose to. I'm merely responding to the fact they know somebody in town and they want to talk to them, and if you don't, the Town Commission doesn't want, I don't care, I won't talk to them. MR. My impression from the limited exposure I've had to RTC is that Mr. Hambric has the authority to settle this case. I have been told -- THE MAYOR: He does. MR. REYNOLDS: -- I have been told all along that he has fifty million dollars in authority to settle anything and that, and I specifically asked him that question at the meeting that Arlin, Mary Ann and I had, and I told him, much to the chagrin possibly of people, that, you know, this, these five men up here are the ones that have the authority to settle. You, on the other hand, can sit there and have your authority, and you turned to me and said, yes, I do, but I'll have to consult with my legal counsel. Well, in all the years I've been in practice and I've been a lawyer representing people, I get hired by people to do something, I give them my advice, but they're the ones that decide it. I've been told on several occasions, you know, I pay you for your advice, if I don't like it, I don't take it, or if I really don't like it I get me a new lawyer. Okay? And I don't see where RTC is in any different posture. If Judith Thompson up there says, this is, you know, she doesn't have a comfort level is what she said at the Sheraton, and I can't stand this and that, I just kind of ignore that, quite frankly, because if I am sitting in Jay Hambric's shoes, you tell me what this does to me and I'll decide whether I want to do it or not. You're not the guy that's sort of the person -- or the woman -- that's sitting there. And much the thing that I see in the scenario here, too, I don't think that throughout the course of this litigation from the time I became first involved in 1988 up until the present date I have told any city commissioner what to do. Okay? And it is the past history, which you probably are not involved with, we had meetings in 188, I'm sorry, 189 and 191 and we had a mediation in 189 and it was my recommendation at that time to settle the case. Okay? Back in 191 I told them that we ought to settle, too, but I didn't think that the terms that were being proposed you really ought to settle on, and when they came back again this year I again said that, no, I think that's a disaster. Now if you people want to face this disaster, go right ahead. And I'm not telling you how to, I'm just here to tell you what I view of it and you make the decision. Likewise, I think in this situation we have submitted them a proposal. I think that everybody knew before it even went out that it was not something that they were going to automatically sign on the dotted line and come back. I mean, I don't think anybody thought that, and thus I don't think it's unexpected for them to come back -- I feel that they should come back, if they are serious about negotiations, to come back with a response for both aspects of it. I think if they're serious about, they are serious about negotiating, that they ought to come down and sit right here in one of these sessions. MR. EYPEL: Absolutely. Is the -- MR. ROBERTS: And you said Jay doesn't want to meet with the Town Commission. Well, I think Jay is going to have to get over that. THE MAYOR: Okay. MR. ROBERTS: You know, I don't want to go to Valley Forge either, but if somebody says that's best for the Town, I'll go. Okay? And I think that to me the most direct way to negotiate is to tell him to come down, bring whoever he wants, bring all ten people that he brought to the hearing, you know, his cadre of lawyers, bring them all. So that would be my suggestion to Mr. Hambric and Mr. Yeats and whoever calls you, to say listen, we're serious about settling, and if you want to do it expeditiously and you're serious about settling, give us your counteroffer and then come down and meet. THE MAYOR: Okay. MR. PAUL: I would be opposed to him, any one person meeting on a one-to-one basis, whether it be you, Mayor, me, or anybody else in the way they are treating us. Let's look -- looking back, you went to Valley Forge, and up to that point I at least was under the impression that the RTC was very tired of these high legal bills from an attorney in Palm Beach. And so they were cutting all this out and you were going to deal with this person, RTC, who I was under the impression could say yes or no right there without having to go to anybody. PAUL: Then you had another meeting where they came down here and there were more people present. And so I just, I can't see the point of anybody, any one person meeting with them. At this point I would be opposed to doing anything until they respond, even if they tell us to go to hell in a letter, give us something to work with. If they -- I'm embarrassed, I'm embarrassed, I'm perturbed. What, are we so frightening to them that they won't come down and sit there and look at us? MR. AUGENSTEIN: I think we're missing something here, too. The money is one matter. But if you recall, the stipulations in their agreement were unacceptable to us. We're the ones who turned down those stipulations, or the responsibility of the Commission and the Town and other nonessential items in there. MR. RAND: We changed the agreement basically to conform with their wishes, aside from the monetary aspects. We changed the agreement and gave them everything they wanted, including the certification by Mrs. Mariano to help them as far as getting relief from the tax assessed evaluation basis with the County Appraiser's office, other conditions that they felt were onerous or too vague. We have bowed to them at every single respect, so I think as I have indicated earlier, I'm rather amazed that they would come back and say that the document is worthless and it's an indication that they're not interested in settling. I think that is an absurd statement to make. If they came back and said, look, everything else is fine in the agreement, the terms and conditions you have indicated are fine, we do feel, however, that the monetary figure that you've indicated is less than palatable to us, and you think, we think you have to do better, we would think more in terms of so much or something like that. Okay? I think there has to be a dialogue, but I think at this point in time there's no reason, no rational explanation that I can see where they would refuse, either Chris, Jay, or whoever else they want, to come in and meet with us in an executive session here and tell us what they object to and what they are thinking of in terms of a settlement and then we can have a meeting and decide whether or not we're prepared to accept or even modify that proposal and say, make plans to stay here for two days and if we come to a meeting of the minds we're prepared to sign the agreement right then and there. THE MAYOR: Let me -- MR. RAND: What's wrong with that? THE MAYOR: Well, let me give you a discussion first. You know, Jay didn't say the document was unacceptable. One division -- the RTC, I keep telling you, has two divisions, a business division and a law division. This is the responsibility of the business division, and they do not speak for the RTC. He asked Chris Yeats what was going on because the law division has recommended to him they don't do anything more with us. They do not agree with that. They want to talk with us, so trying to defend why the RTC does whatever they do is not the business end who has the ultimate responsibility and authority to make the decision. All he is saying is he wants to talk. If you want me to say to him, well, we'd really like you to get a document together and come down and talk to the whole Commission, I have no problem with that. Merely asked me if I want to do this. I said I will let you know if that desire of yours is acceptable to the Commission or not. And that's merely the purpose of this meeting. I'm not trying to defend what they're doing. MS. MARIANO: Let me say that I think the RTC is very well aware of how local government works because Rusty told them that in our meeting at the Sheraton. They're very well aware that there are five people who have to make a decision. I think, I'm appalled at the statement that they don't want to come before the entire Town Commission. I think if Mr. Hambric or Mr. Yeats refuses to do that, I have personally gotten an appointment with somebody over Jay's head before and I'm sure we can do it again. I think then it's time to immediately get Clay Shaw and Connie Mack involved. If we call them and say there is something on the table, the clock is ticking, they are refusing to talk to us, I think our senators and our congressmen would not like that very much, because they are very involved in what's happening. I have continued dialogue with them and I know at least the congressman has been given clearance from the Ethics Commission to get further involved in this subject, and if they come back and say they don't want to talk to us I think they can be made to talk to us somehow. THE MAYOR: They haven't said they don't want to talk to us at all, they merely have suggested that they wanted to talk to me. I merely tell you that. MS. EYPEL: If I may for just a moment, I'd like to move -- I think one of the problems that we've had in the way we approach this situation is for some unknown reason we allow our personalities, we allow our emotions to get involved here, and I'm going to be real candid with you, because I think it's time to get very candid here. This issue is of great importance to the people of this town. It has to do with, I was joking today, but when I said the, if we agree and -- I think what has happened is the RTC, when they came to you with their proposal of five and a half million dollars and the document that was generated, that could very well have been their best offer that they were prepared to make forever. That might have been it right there. Bottom line. Okay? I have no problem with that. I'm concerned that, I'm concerned that when we talk, when they talk about they can't settle for less than or when they say two million is ridiculous as opposed to the judgment of seventeen million -- THE MAYOR: Two point five. MR. EYPEL: Two point five, excuse me, I find that totally absurd, because when you look at the RTC's total scheme, the one or two million dollars quite frankly means nothing to them. It's a drop in the pail, and yet to us it's an enormous amount of money. One million dollars represents our entire new library facility down here, two million dollars represents the library and the fire station, and three million dollars represents our entire future government complex probably, if I'm not mistaken, or it was somewhere in that neighborhood. SCHOECH: And there are a couple of issues there, and as it relates to future payments or installment payments, obviously this agreement, as Rusty has drafted it, doesn't talk about installment payments, because it's not contemplating a larger amount which would necessitate that. So if we are in the mode of discussing installment payments and considering that as part of the settlement, that would have to be addressed in the document. If it is addressed in the document, that's adopted as a court order, you clearly have no problem binding future counsel. Absolutely not a problem. If the document clearly said we want five million and we want it within a year, and you don't have the ability to raise that in taxes and you have to bond, then clearly we can bond without the referendum because you don't have an option, but where you have that option we have to be very careful that we don't back ourselves into a corner, but that we would do in drafting the document, once we know that that's the settlement we want to put on the table.
