1997.01.07_TOHBMBAI_Minutes_Regular MINUTES OF THE MEETING OF DIRECTORS OF THE TOWN OF HIGHLAND BEACH MUNICIPAL BUILDING AUTHORITY, INC. January 7, 1997 The Regular Meeting of the Directors of The Town of Highland Beach Municipal Building Authority, Inc. was held at the Town of Highland Beach Commission Chambers, 3614 South Ocean Blvd., Highland Beach, Florida on Tuesday, January 7, 1997 at 2:00 P.M. The following were present, being all of the Directors of the Corporation and a quorum: Arlin Voress, Chairman John F. Rand, Vice Chairman Arthur Eypel, Director . David Augenstein, Director Thomas J. Reid, Director Mary Ann Mariano, Secretary Tom Sliney, Attorney Charles Schoech, Special Counsel Peter Ince, Construction Consultant Peter Czajkowski, Financial Consultant The meeting was called to order by the Chairman, Arlin Voress, at 2:05 P.M. The Minutes of the Meeting of the Directors of the Corporation of December 17, 1996 were distributed and reviewed. Following a discussion of the Minutes, a motion was made by Arthur Eypel, seconded by John F. Rand, to approve the Minutes as amended. The motion carried. 1. Award of Construction Contract to Kaufman Lynn,Inc. - Contingent on Bond Closing The Chairman called on Tom Sliney to discuss the award of the Construction Contract. There was discussion by Tom Sliney, Mary Ann Mariano and Peter Ince. They indicated they were pleased with the meeting with the Contractor and that the Contractor had reduced the total construction period to 150 days. They also advised the Board of Directors that they had received the Financial Statement, the Contractors Qualification Statement and the Contractor's Resume of Completed Projects. Peter Ince discussed the need to move Florida Power and Light power lines and estimated that the cost would be about$7,100. Mr. Ince also indicated that there were two power lines,one a three-phase service and one a single-phase service and that both needed to be moved and that it would take three to four weeks to mobilize Florida Power and Light. Following the discussion by the Board of Directors, a motion was made to award the base bid and not the alternative bid to Kaufman Lynn, Inc. This award of the Contract was subject to and contingent to the closing of the Bonds. The motion was made by David Augenstein, seconded by Thomas J. Reid. The motion carried. 1 2. Discussion Regarding Bank Financing v. Underwriting, Discussion Regarding Request for Proposals for Bank Financing, Discussion Regarding Sizing of Bond Issue and Lease Payments. Charles Schoech, Special Counsel, gave a brief overview of each of the following three agenda items: (1) Bank Financing v. Underwriting; (2) Request for Proposals for Bank Financing; and, (3)Sizing of Bond Issue and Lease Payments. He then called upon Peter Czajkowski to discuss the sizing of the Bond Issue. Peter Czajkowski distributed a proposed Request for Proposals which he described to the Board. During his discussion regarding the Request for Proposals for Bank Financing,he advised the Board that the Bank Financing would eliminate the need for a debt service reserve fund,the need for printing an offering document and the trustee's fee. He advised the Board that they needed to determine the amount to be borrowed to cover costs of the project. He estimated that the project cost would be $950,000. He also advised the Board that the Request for Proposals might provide for pre-payment on the Bonds at any time. Following the discussion it was the consensus of the Board that they should finance the full amount of the project. Vice Chairman John Rand approved the request for Bank financing but felt it should be for a lesser amount because the Town has ample surplus reserve funds to allow for a lesser amount. A motion was made by Thomas Reid, seconded by Arthur Eypel to issue the full amount of the Bonds in the amount of$1,000,000 and to send the request for proposals to local banks. Upon a roll call vote,the votes were as follows: Arlin Voress Aye John Rand Nay Arthur Eypel Aye David Augenstein Aye Thomas Reid Aye The motion passed 4 - 1. The next meeting of the Town of Highland Beach Municipal Building Authority,Inc. was scheduled for 1:00 P.M. on Wednesday,the 15th of January to receive and open bids for the Bank Financing. The Bond Closing was scheduled by the Board to be held at 10:00 P.M. on Monday, January 27, 1997. There being no further business to come before the Board,the meeting was adjourned.
