1996.09.06_TC_Minutes_Special~ { --~ • TOWN OF HIGHLAND BEACH MINUTES OF TOWN COMMISSION SPECIAL MEETING Fridav, September 6, 1996 4.00 P M Mayor Voress called the Special Meeting to order at 4:00 P.M. in Commission Chambers. Deputy Town Clerk Jane Dillon called the roll. The Mayor, and Commissioners Arthur Eypel, David Augenstein and Thomas J. Reid were present. Vice-Mayor John F. Rand was absent. Town Attorney Thomas E. Sliney and Town Manager Mary Ann Mariano were also present, as were members of the general public. This meeting was called to hear the following Resolution: A RESOLUTION OF THE TOWN COMMISSION OF THE TOWN OF HIGHLAND BEACH, FLORIDA, AUTHORIZING THE CREATION OF THE TOWN OF HIGHLAND BEACH MUNICIPAL BUILDING AUTHORITY, INC., AND APPROVING THE ARTICLES OF INCORPORATION AND THE BY-LAWS OF THE TOWN OF HIGHLAND BEACH MUNICIPAL BUILDING • AUTHORITY. Mayor Voress presented Attorney Schoech's letter which addressed the legal liabilities of the Town Commission of Highland Beach. The Mayor then asked if Ms . Mariano was investigating the insurance aspects of the Municipial Building Authority. Ms. Mariano stated that several options were being looked at, one being a separate policy for directors and officers, or the Municipal Building Corporation becoming an additional insured on the Town's present policy. She stated there was not a concern in obtaining insurance, just a matter of deciding how to write it. Mayor Voress asked Attorney Sliney to reply to Attorney Schoech, that his letter was satisfactory and was accepted by the Town Commission. The subject document which was prepared by Charles F. Schoech of Caldwell & Pacetti Law Offices, was open for discussion with comments and changes being noted. During discussion, it was noted that the Secretary/Treasurer need not be a Director of the Authority. It was the consensus of the Town Commission to add the name of Mary Ann Mariano as Secretary/Treasurer to the document as the Town Manager would be providing all the administrative require- ments to the Authority. Attorney Sliney will submit the changes to Mr. Schoech for revision, and request it be back to the Commission • by the 13th of September, after which it will be executed by all Town Commission members. /~ • Town of Highland Beach Town Commission Special Meeting September 6, 1996 Page 2 of 2 Approval of Resolution was made upon MOTION by COMMISSIONER EYPELjCOMMISSIONER REID as follows: The Town Commission approves the Resolution as amended, approves the Articles of Incorporation as amended, and approves the By-Laws as amended.
